This is my first time posting a DD post – a friend of mine who moderates on SPACs has shared some analysis I have written previously, but I’m keen to share this here, and see if there is any appetite for sharing my own personal written DD I have on the 30 stocks I have across a number of different portfolios.

Some of the market stats (market cap, current multiples, etc.) are correct as of Feb-06, and clearly a little outdated since the price movements.
Not a financial advisor, do your own DD. I am long HITI and have an expectation of a long term hold on this stock.
Overview
  • High Tide Canada-based cannabis retail company, operating under multiple brands. It operates under 3 core divisions:
  1. Brick and mortar retail – 4 key brands with just under 70 locations in Canada. Brands include: Canna Cabana, New Leaf, Meta Cannabis and Kushbar. Forecast to have around 115 stores by end of 2021
  2. Online retail – has 2 brands, both of which attract millions of viewers per month – Grasscity.com and CBDcity.com
  3. Wholesale – manufacturer of paraphernalia in US and Canada. Number of products are branded with various celebrities, Snoop Dogg, Paramount Pictures, Trailer Park Boys and many more
  • Has good c-level execs and experienced executive board; hold significant stake in the business. CEO Raj Grover holds just over 21% of the shares
  • Currently has a market cap of around $280m. Still significant upside to the valuation – see analysis later in post
Investment Merits
Very strong market growth:
  • Business has demonstrated growth both organically (through new store openings, more online sales and greater wholesale sales), as well as inorganically through M&A
  • Growth in markets which High Tide has a physical presence in is expected to be very strong. North American cannabis market (Canada and US) is forecast to grow by 30% a year to 2027 (source: research and markets)
  • Analysts covering High Tide are forecasting growth in excess of this, which is positive to see and implies capturing market share
  • New markets / geographies ‘opening up’, legalizing and regulating cannabis is also an exciting and realistic prospect for incremental growth:
  1. The US federal legalization debate is on the table
  2. Many other countries are considering this too and High Tide is well positioned for these; this is catalyzed by the fact that government debt has increased significantly as part of the response to the COVID-19 health crisis. This needs to be repaid somehow, and increasing tax rates on existing taxes is an unpopular political move. Finding new tax revenues is a more palatable way of increasing tax revenues for governments. This is especially important in countries where elections are upcoming.
  • Personally I do expect to see this accelerate the agenda for the regulation and legalization of cannabis in many new countries
  • Whilst predominantly Canada and US based, High Tide does have presence in some markets where cannabis is not regulated or legalized, the UK for example (~10% of Grasscity sales are made here) and so it is well positioned with a strong and established brand to capitalize on this opportunity, when / if the market ‘opens up’
Regulation
  • High Tide benefits from the regulatory focus and overhang on the cannabis retail sector as it represents a strong barrier to entry, making it more challenging for new competitors to enter market
  • Participants in the market need to have licenses and ensure consistent compliance with laws to continue operating – failure to comply can result in significant financial penalties
  • Personally I normally don’t like investing into retail. There are usually fairly limited barriers to entry, minimal differentiation and negligible customer loyalty, however the cannabis market does have different characteristics in this respect and makes it a more compelling proposition
  • Regulation also benefits those with scale, something High Tide has as the leading player in the market. It costs money to obtain and retain licences to operate and it costs money to ensure compliance with all the laws and regulations and that all staff are acting in accordance with these
  • Some parallels in this respect which can be drawn to casino gaming in casinos; you don’t see new casinos popping up at the same rate which you see new restaurants or apparel stores opening
Demand
  • There’s a lot to like about the demand dynamics for High Tide. It’s vice-nature means that demand is less correlated to disposable incomes. Given where we are in economic cycle, especially important consideration
  • For those doubting this, check alcohol, tobacco or gambling expenditure across economic cycles historically, for a proxy
Strong performance throughout COVID-19 crisis
  • Despite heavy weighting towards brick and mortar, (the most hard hit part of retail) it has effectively managed the shift to online, which is a positive
  • Has relied on government support and financial assistance in the form of job retention schemes (address in more detail later in post)
  • This demonstrates management are capable and have effectively navigated the challenging situation
Data
  • Massively summarized from the video, (and my video on KERN) so check that out if interested in this point, however, they have unique access to supply chain data which could be monetized effectively and generate strong levels of recurring revenues
  • Other established sectors have a trusted party with such unique access to data (e.g. alcohol, lithium, different foods, etc.) and the opportunity here is enormous
  • I would like to see High Tide capitalize on this
Forecasts financials & analysts
  • Currently 2 analysts covering High Tide, both have a buy rating on the business
  • Their coverage is slightly outdated (expect this being updated soon and a further catalyst for positive price action) and their price targets are 60c; at the time their reports were published, they were forecasting a 4x upside (HITI was trading at ~15c)
  • Same analysts also forecasting strong growth - 77% CAGR to 2022. They are forecasting revenues of around $250m and EBITDA of $46m. A reminder here, these are professional analysts, not YouTube students – these come from their financial models, the assumptions of which are discussed with management

Valuation
  • Going to go quick here, its explained more slowly in the video but High Tide is currently valued at a significant discount to the other listed peers
  • Looking at EV / FY+1 Sales multiples – EBITDA not meaningful as some of the peer group are EBITDA negative and High Tide itself has only recently become EBITDA positive

  • Personally, I think Planet13 is the most comparable given its business model
  • Taking both Planet13 multiple and peer group average multiple, this is then applied to High Tide’s forecast FY+1 sales to calculate an enterprise value – this is adjusted for net debt to get to a market capitalization and then divided by the share count to get an implied share price
  • The table below shows the implied stock price valuations from this analysis

  1. Net debt will change in coming year given the capital structure and a large number of convertible notes – this has been ignored given it will have small impact on the price
  2. The share count will change as a result of dilution from various instruments – if this bothers you massively then look at the valuation discount on the basis of the enterprise value as it does not impact this (and only slightly on the market cap given minimal impacts to cash from instrument execution, etc.)
  3. Not accounting for any stock split, consolidation or any other M&A deals
  4. The FY21 financials are on the basis of the mean broker estimates from Thomson Reuters – Seeking Alpha has different and slightly outdated ones
Investment Risks & Mitigants / Outstanding DD points
Exposure to changing regulation
  • US is only a small part of the market which High Tide addresses, while a change in regulation would have a big impact on the company, currently it is unlikely this would happen, given the discussions about potential federal legalization
  • Canada regulation is established and not going anywhere
  • Other countries likely to legalize and regulate cannabis, as outlined earlier
Dilution
  • No escaping that there will be some significant dilution for shareholders, as pointed out in the table below, but this should be already priced into the stock
  • Potential that new equity issuances could occur to help finance growth, but provided this growth is delivered, it should be accretive for the stock price

Potentially misleading cost basis information
  • A risk that investors need to be aware with for all companies which have relied on government financial support during COVID-19 measures. Such support has resulted in the number of businesses going bankrupt decreasing massively – this is at a lower level than it ever normally is and is masking some real underlying issues within companies. As investors we need to be open eyed about this
  • As High Tide has benefited from support in the form of the Canada’s Emergency Wage Support scheme, there is the risk that once this is lifted it may become apparent that the cost base has not been effectively managed
  • Personally, I think this is mitigated by the synergy analysis conducted as part of the M&A. A full cost base analysis would have been conducted to calculate the potential $8.4m synergies so strong likelihood that this is under control, but should keep on our radar and reassess
Marketing expenses and celebrity licenses
  • Need more information to ascertain whether these are underpinned by a compelling ROI. Seen a lot of people suggest this is a great positive, but the impact on sales volumes from these is unknown, as is the terms of these license agreements (e.g. split between upfront fee vs. volume-based fee)
  • No escaping the fact that it is an increased cost and so need to understand the ROI this generates to determine whether it really is compelling
  • Is there really more demand to pay a premium for Snoop Dogg bongs, Guns n Roses papers, Cheech & Chong grinders, or whatever they may be?
  • So far management have suggested this has been helpful in driving new sales, but this is something to dig into more

All this month, people have been talking about a new Netflix documentary called The Social Dilemma, in which a bunch of stubbly Californian tech start-up nerds on a guilt trip worry out loud about how the internet has been hijacked by enormous companies that are now using it to make — gulp — money.
They say that our phones constantly monitor what we do and who we talk to and what we say. And clever algorithms are used so advertisers can target their products and services at exactly the sort of people who might be interested. And this is what, exactly? A bad thing?
If you are a woman and you are experiencing lady problems, you do not want your Facebook feed to be full of ads for agricultural buildings. In the same way, I'm not the slightest bit interested in hearing about an exciting new breakthrough in tampon technology. Targeted advertising makes sense for all concerned, and if Facebook can make a few quid along the way, good luck to it.
"Ah, but," say our stubbly friends from California. "Exactly the same information-gathering and algorithms can be used by political parties to target undecided voters." And ... what's wrong with that? Seriously. What's the difference between doing that and dispatching some smiley dweeb with a clipboard and a pamphlet full of promises to the swing-state housing estates of Hemel Hempstead?
The Social Dilemma, however, did in the end touch fleetingly on a subject that's been troubling me for a little while now. That Google and Facebook and all social media will eventually cause every country on earth to be engulfed by a bloody civil war. Possibly about toothpaste.
When I was a reporter on the Rotherham Advertiser, I'd go for lunch most days with two people who were in the Workers Revolutionary Party. I liked them a lot, and I think they liked me, even though I was very obviously not a member of the Workers Revolutionary Party. We talked about politics, of course, and we'd argue in a good-natured way and then we'd have a couple more pints. And then we'd go back to work.
It was the same story with my dad. He didn't like my trousers and I did not like his. We didn't have similar taste in music either. He thought Dave Greenslade might be the devil. I thought Bach needed to cheer up. And we'd have lengthy debates about hair too. But we never actually fell out over any of it.
Today, though, things have changed, because we can engineer our lives so we rarely encounter anyone who thinks differently. You think you are chatting to your kids in the evening, but actually you're making noises while they're tuned into Radio Greta on social media.
We all follow like-minded souls on Twitter. We have WhatsApp groups, where we share jokes with others we know will find them funny. We watch whatever news channel echoes what we are thinking. The stubbly start-up nerds say it isn't possible to step back from the brink. They say we've created Skynet and that no one's going to come from the future to save us.
But I think it is possible. We just need to remove the cloak of anonymity behind which all social media users can hide. You used to need a licence to own a dog and could have had it taken away if you didn't treat it well. I didn't think farming would be especially difficult. I figured that man had been growing crops for 12,000 years and that after such a long period it would be in our DNA. That it would be relaxing. Monty Donnish even. I'd plant seeds, weather would happen and food would grow.
In my mind, then, farming would mostly involve leaning on a gate while munching pensively on a delicious Dagwood Bumstead sandwich, or enjoying a late summer sundowner from behind the wheel of an air-conditioned tractor. It'd all be a festival of crusty bread, lemonade, fresh air and cider with Rosie. Followed by a cheery harvest festival and a big fat cheque from the EU.
I've learnt, however, that all of it is back-breaking and difficult, that there's never time for a ploughman's in the sunshine, that there's no cupholder in my tractor for sundowners or anything else and that to be a farmer you must be an agronomist, a meteorologist, a mechanic, a vet, an entrepreneur, a gambler, a workaholic, a politician, a marksman, a midwife, a tractor driver, a tree surgeon and an insomniac.
I am none of those things, which is why I spend every single evening with my nose buried in a copy of the countryside bible — Farmers Weekly. It's my new favourite thing.
I especially love the fertiliser and machinery adverts, because they all feature fifty-something men and they're all wearing checked shirts and zip-up gilets made from a material that exists only in agricultural supply shops. I want to buy everything they're advertising because it all looks so manly and proper.
The editorial is a bit different, though, because I can't really get my head round any of it. There will be a picture of some sheep, so I'll think, "Ah. I have sheep. I must read this." But after the second paragraph I have to give up and move on because I don't understand a single word.
I therefore switch to a piece about the new agriculture bill, but all I've taken in when I finish it is the sound of a voice inside my head saying, "Concentrate, Jeremy. This is important." The actual words? No. They've just swum about like fish.
I understand now how life is for people who think they might be interested in cars. They pick up a car magazine, and after five minutes they think that maybe the exciting front cover featuring a Porsche on full opposite lock was a con because the text inside seems to be about physics.
I can read about an electronic limited-slip differential and know what the writer means.
I know terms such as lift-off oversteer and axle tramp and torque steer and scuttle shake and I even have a fairly good idea what the motoring writer Gavin Green meant in Car magazine when he said the then new Toyota MR2 suffered from "tread shuffle"\*. For most people, though, this kind of language is gobbledygook.
We see the same problems today with Formula One. The commentators don't translate tech-speak such as "deg" for the viewers. They use it to demonstrate to the drivers and the engineers that they too are part of the inner circle. It annoys me — so, chaps, can you stop saying "box"? And use the word "pit" instead, because then people at home will know what the bloody hell you're on about.
This brings me on to the world of banking. Like a lot of people I have savings, and that means I occasionally have to speak with people called Rupert and Humphrietta. One said in a Zoom call recently that in the previous few months I hadn't "shot the lights out". I had no idea what she was on about. She then tried to sell me a "product", which, it turns out, is only a product in the way that a casino chip on red is a product. I could be wrong, but I'm in no position to know.
I turn occasionally to the Financial Times for assistance on these matters, but, like the car magazines and the F1 commentary, it's far too complicated. Which is why I mostly end up reading the superyacht reviews in the disgusting but strangely engrossing How to Spend It supplement.
I fear, however, that simplification isn't actually necessary in Farmers Weekly, because the readers don't need the jargon translated. When they read that ex-farm spot wheat values are averaging close to £176.50/t midweek, they know what the words mean and what the implications are. Me, though? Not a clue.
I have been writing these farming columns for six months and I have started buying all my clothes at StowAg, so quite often I'm stopped in the street by farmers wanting to know about the moisture content of my wheat or where I am on the idea of levying a carbon tax on farmers who finish their cattle after 27 months.
I have therefore become very skilled at nodding and then suddenly remembering that I must get in the car and go away.
The worry is that I want to learn how to speak farming, but I have no idea how this is possible. I don't have a boss who can take me under his wing, and while I have a land agent, who's brilliant, he is even more un-understandable than Farmers Weekly.
I could sign up for a three-year course at what is now, hilariously, called the Royal Agricultural University in Cirencester, but by the time I'd finished learning how to drive a Golf GTI up the steps and how to get home from Cheltenham after a particularly pissed-up day at the Gold Cup, I'd be too old to lean on gates or climb the ladder into my tractor.
Muddling on isn't really an option either, because when our EU money dries up in January, it's very obvious farmers are going to have to adopt a much more scientific approach to survive with dwindling government grants.
I already don't know how a potato grows, but soon it won't matter unless I can use chemicals and boffinry to grow four billion of them. I shall therefore drown in tech I don't understand and can't afford.
I have turned to the internet, of course, and it is neatly split between two approaches. Fantastically simple nonsense written by and for failed City boys who have two acres and a lamb. And head-spinningly complicated equations written by people into chem-porn at Monsanto.
And in the middle of all this there's me, who wants to make good food, well. I think I'm not alone. I think there are a lot of farmers like me who are bewildered and even a bit frightened by what they must do to survive. And I think you, round your breakfast tables, should be worried too.
Because when you take the art and the history and the simplicity out of farming, I suspect you may end up with a lot of food that doesn't taste very nice.

I want to know if it is an option to sue GVC in the UK since this is a company listed on the London Stock exchange. Suing them in Gibraltar, where they got the licence or in Germany, where I am from, are unfortunately no options, due to lack of prospects of success.

The Gibraltar Gambling commission is also highly corrupt. They basically don't even want any complaint to get in at all. You can't submit a complaint online. You have to print several pages and fill out everything by hand. They will also ignore your claims until you get really annoying with all your reminders and messages you sent to them, then they will decide in favor of the casino.
I can't even sue the casino, because the legal situation in Germany regarding Online gambling and Online casinos without a licence is fucked up.
I consulted many different lawyers all telling me not to sue them, because my chances of winning are slim, not because partypoker is right, but because this is deemed illegal gambling and I basically can't get any money back. Even in case of winning it would not be clear if i can get any money back, because Gibraltar is not in the EU where i could enforce GVC to pay what they owe me.
A judge friend of mine even advised me not to sue, because Gibraltar is too corrupt and the legal fees are astronomical.
So neither in Germany I can get what's mine nor in Gibraltar (most probably).
Basically Party knew about the loophole in German law and exploited it. I think especially German Players are in danger, no way they could get away with this in Great britain for example.
CLIFFS:
-Partypoker stole almost 105k of my money (half winnings, half deposits) with a far fetched explanation, which I only got from the regulators after filling a complaint. At no point any evidence was shown.
-The regulators also decided not to hold partypoker accountable.
-Partypoker also used a ponzi like scheme to bait me in and take my money as long as i kept losing, once i had a big upswing, they kept my winnings and deposits anyways.

Partypoker stealing 100k of my money! What are my options and what is my probability of success and the coast associated to sue them.

I want to know if it is an option to sue GVC in the UK since this is a company listed on the London Stock exchange. Suing them in Gibraltar, where they got the licence or in Germany, where I am from, are unfortunately no options, due to lack of prospects of success.
Is it possible to sue them in the UK? Which costs would be associated with that? What probability of success are you estimating?
I also posted this in scams (and this is a repost as my original on is still pending a few days in) as i want to let as many people know about the business practices of Partypoker / GVC:
I want to warn other gamblers about Partypoker. They basically stole more than 100k of my money, 50k of which were deposits. They can do this really easily, especially in Germany (as I will explain later).
